This Cleaning Services Agreement (the "Agreement") is entered into on [Effective Date, e.g., MM/DD/YYYY] (the "Effective Date"), by and between: Client: [Client Name], located at [Client Address] (the "Client"). Service Provider: Tidi Cleaning, located at 21187 SE Philly Ave, Bend, Oregon, 97702 (the "Service Provider"). Collectively referred to as the "Parties."
The Service Provider agrees to perform the following cleaning services (the "Services") at the Client's property located at [Property Address]:
[Deep Cleaning, Routine Cleaning, Move-out Cleaning, e.g., vacuuming floors, dusting surfaces, cleaning bathrooms and kitchens, window washing, etc. Specify frequency if recurring, such as weekly or bi-weekly.] Services will be performed on an agreed-upon day or as otherwise agreed in writing. Any additional services outside this scope will require a separate agreement or amendment and may incur extra fees.
This Agreement begins on the Effective Date and continues until terminated as provided below. It may be renewed by mutual written agreement. Either Party may terminate this Agreement:
With 30 days' written notice for any reason.
Immediately if the other Party breaches any term of this Agreement. Upon termination, the Client must pay for all Services rendered up to the termination date.
In exchange for the Services, the Client agrees to pay Tidi Cleaning:
Payment Schedule: Invoiced immediately, due within 7 days of the invoice date (net 7 terms).
Payment Methods: Credit card, electronic transfer.
Late Fees: A late fee of $25 per week or 5% of the invoice amount, whichever is greater, will be applied to payments received after 7 days, accruing weekly until paid in full. All payments are non-refundable except as otherwise stated. The Service Provider reserves the right to adjust rates with [number, e.g., 30] days' notice.
Tidi Cleaning will provide all necessary cleaning supplies and equipment at no additional cost. The Client will reimburse Tidi Cleaning for any pre-approved specialty supplies requested by the Client.
Tidi Cleaning’s cleaners are employees, not independent contractors. Tidi Cleaning is responsible for all employee-related taxes, insurance, and compliance with applicable laws. No employee benefits (e.g., health insurance, retirement) are provided by the Client.
The Client may inspect the Services upon completion. If the Services are unsatisfactory, the Client must notify Tidi Cleaning in writing within 24 hours, and Tidi Cleaning will remedy the issue at no additional cost.
Tidi Cleaning agrees to keep all Client information (e.g., property details, personal data) confidential and not disclose it without permission. This obligation survives termination of the Agreement.
Tidi Cleaning maintains general liability insurance to cover damages caused by its willful misconduct or gross negligence during the performance of the Services. The Client is responsible for informing Tidi Cleaning in writing, prior to the performance of Services, of any specific care instructions or restrictions for their property. Tidi Cleaning shall not be liable for any damage, loss, or liability resulting from the Client’s failure to provide such instructions, provided Tidi Cleaning follows its standard cleaning procedures. The Client is responsible for securing their property and valuables. Neither Party shall be liable for indirect, incidental, or consequential damages.
Upon termination, Tidi Cleaning must return all Client property (e.g., keys, access codes) in good condition. The Client may withhold final payment until this is done.
This Agreement shall be governed by the laws of the State of Oregon.
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. Amendments must be in writing and signed by both Parties.
